With over 30 years’ experience as legal adviser of choice to senior executives in diverse businesses in Europe and Africa, Stephen has a strong legal practitioner’s background in Capital Markets, Corporate, Corporate Insolvency, Energy (oil & gas), Professional Negligence and Dispute Resolution within Sub Saharan Africa and Europe. He has been sought after by international companies working in Nigeria (Cargill Inc., Carl Bro International AS and General Motors Inc.). Stephen served as Legal Counsel and Company Secretary to Cargill within Nigeria.
Stephen is a driven; results oriented and committed team player with strong proven leadership abilities.

Stephen is a dual qualified Solicitor in England & Wales as well as being a Barrister at Law, Nigeria. He led a team of twelve lawyers including eight Solicitors in the City of London for 10 years where he was Senior Partner of a niche corporate and commercial practice.
Stephen is a keen cyclist, chess, and squash player, and a lay-minister.

Milestones

Legal adviser on OMLs Acquisitions, JOAs, Drilling Contracts, Shareholders’ Agreements, Equity Finance and Procurement Agreements and Management Services Agreements in the upstream sector of the Oil & Gas industry in Nigeria. The firm is currently advising two indigenous companies with a focus on the Nigerian Local Content Act 2010 in its participation in the Nigerian Marginal Fields Bid Round 2013.
Participated recently as part of team that acted for an Indigenous Upstream Company in its drilling Contracts negotiations and contract drafting/review offshore Republic of Benin circa US$130m.
Legal Counsel in multiparty-contracts negotiations for Assets Acquisition and funding of project and divestment programme after successful acquisition in Nigeria, circa US$75 million (2011)
Legal Counsel to the Noble Group Inc. in its negotiations and settlement of major product supply dispute with the Pipelines & Products Marketing Company (PPMC) circa =N=6.5 billion.
Master Service Contracts negotiations, drafting and review between client Company and its suppliers, Cameron/Halliburton/Schlumberger (March 2013).
Legal Counsel on successful Bid by Leading London NHS Trusts to fund Business Start Ups in the commercialization of Intellectual Property and the management of their £15 million fund.
Advising on, reviewing and negotiating Matched Funding Agreements between West London NHS Trusts and the London Development Agency (LDA) for the funding/exploitation of Intellectual Property in the various West London NHS Trusts.
Negotiating, drafting Asset Sale/Purchase Agreement following purchase by our clients of a Leisure Group going into Administration Company (Mansfield Group) one of the largest in Republic of Ireland following sale/disposition of Group Assets by Receivers (Lloyds Banking Group) circa €265 million;
Drafted purchase agreement for leased assets from the Bank of Scotland; Negotiated purchase and drafted the commercial lease assets sale of the company including: Deeds of Covenant and Novation, Asset Sale/Winding Up Petition;
Group Legal Counsel to Hallmark Cards UK Plc. on its £300 million group restructure exercise to include the effect of financial assistance and intra group loans under section 151 of the Companies Act (the Whitewash Procedure).
Negotiating and drafting Agency & Distributorship and Confidentiality Agreements and various assets transfer agreements between parent and subsidiary for the intra group re-organization.
Reviewing various Licensing/Merchandising Agreements between Hallmark Cards UK Plc. and Warner Brothers Inc.

Corporate Milestones

Negotiated, drafted and reviewed multiparty contracts for a vending project with Marks & Spencer, British Telecom, Securicor and the Post Office; Concluded Commercial Contracts Standard Terms and Conditions for the entire group.
